Sam Flax has served as our Executive Vice President and Secretary since our IPO and was appointed to our Board of Directors in July 2011. Mr. Flax is also the Executive Vice President, Chief Compliance Officer and Secretary of American Capital AGNC Management, LLC, our Manager, and of its parent company, American Capital Mortgage Management, LLC. Mr. Flax is also Director, Executive Vice President and Secretary of American Capital Mortgage Investment Corp. (NASDAQ: MTGE) and Executive Vice President, Chief Compliance Officer and Secretary of its manager, American Capital MTGE Management, LLC. In addition, he is the Executive Vice President, Chief Compliance Officer and Secretary of American Capital Asset Management, LLC (f/k/a American Capital, LLC), the asset fund management portfolio company of American Capital, Ltd. (NASDAQ: ACAS). He has also served as an Executive Vice President and the General Counsel, Chief Compliance Officer and Secretary of American Capital, Ltd. since 2005. Previously, Mr. Flax was a partner in the corporate and securities practice group of the Washington, D.C. law firm of Arnold & Porter LLP from 1990 to January 2005. At Arnold & Porter LLP, he represented American Capital, Ltd. in raising debt and equity capital, advised the company on corporate, securities and other legal matters and represented the company in many of its investment transactions. |
